1. Agreement

By downloading, installing, or using Vays (the "Apps") on your iPhone, iPad, Apple Watch, or Mac, you agree to these Terms of Use. If you do not agree, please uninstall the Apps.

2. License to use the apps

Vays is licensed, not sold, to you for use only under these terms. We grant you a personal, limited, non-transferable, non-exclusive, revocable license to install and use the Apps on Apple devices that you own or control, in accordance with the Apple App Store Terms of Service.

The source code of Vays is separately released under the MIT license at github.com/arvindjuneja/voicememo. Building the App from source for personal use is permitted by that MIT license; redistributing your build through the Apple App Store under your own developer account is permitted only if you comply with the MIT license terms (attribution, license notice).

3. No account required

Vays does not require you to create an account, sign up, or provide any personal information to use the App. There is no Vays login. The only "account" involved is your existing Apple ID, which is used solely by Apple to deliver the App and process subscription purchases.

4. Vays Pro subscription

What Pro unlocks. Vays Pro is an optional auto-renewing monthly subscription that unlocks on-device AI features, including on-device transcription on iPhone, on-device LLM summaries, vision input in chat, and Quick Tasks. The exact list of Pro features is described on the App Store product page and the pricing section of our website.

Price. The current price is shown in the App and on the App Store before you subscribe. Prices may vary by territory and may change in the future; any price change will be disclosed before it applies to you, and Apple will request your consent if required.

Auto-renewal. The subscription renews automatically at the end of each billing period unless you cancel at least 24 hours before the period ends. You can manage or cancel your subscription at any time from Settings → Apple ID → Subscriptions on your device.

Payment. Payments are processed by Apple through your Apple ID payment method. Vays does not see your payment details.

Refunds. Refunds for App Store purchases are handled by Apple according to their refund policy. We do not process refunds directly.

Free version. The base Vays App is free to use and does not require a subscription. Pro is optional.

5. Apple EULA & standard terms

Use of the Apps distributed via the Apple App Store is also governed by Apple's Standard End User License Agreement (EULA). To the extent these Terms of Use conflict with Apple's EULA, Apple's EULA controls for the App-related items it covers. Additionally, you acknowledge:

You retain all rights to the content you create with Vays — your voice recordings, transcripts, summaries, chat messages, and tasks. We do not claim any ownership over your content. We do not have access to your content, because as described in our Privacy Policy, your content stays on your device.

You are responsible for your content. Do not use Vays to create, store, or share content that is illegal, harmful, threatening, or that violates anyone else's rights. Vays is a tool — what you do with it is your responsibility.

7. Third-party services

Vays optionally integrates with the following third-party services. Your use of these services is governed by their own terms and privacy policies, not ours:

The Apps are provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Apps will be uninterrupted, error-free, or accurate. AI-generated transcripts and summaries may contain errors; please review important content before relying on it.

9. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Arvind Juneja or contributors to the Vays open-source project be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of data, loss of profits, or business interruption, arising out of or in connection with your use of the Apps. The total liability for any claim arising from these Terms or the Apps is limited to the amount you paid for Vays Pro in the 12 months preceding the claim, or 50 USD, whichever is greater.

11. Changes to these Terms

We may update these Terms from time to time. If the changes are material we will update the "Last updated" date and post a notice on our website. Your continued use of the Apps after a change means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of Poland. Any dispute arising from these Terms or your use of the Apps will be resolved in the courts of Warsaw, Poland, except that you and we may also bring a small-claims action in the appropriate small-claims court for your jurisdiction. Nothing in these Terms limits any consumer rights you may have under mandatory law in your country of residence.
